Introduction
These Terms of Service (“Terms”) govern your use of the IronGate Construction (“Company,” “we,” or “us”) website and services. By using our platform, you agree to these Terms. IronGate Construction is a real estate dispositions wholesale company that partners with wholesalers to market properties to investors through a wholesale assignment model.
Services
IronGate Construction provides a platform to market real estate investment properties on behalf of wholesalers to investors. Properties are sold on a first-come, first-serve basis, with no bidding wars.
Wholesaler Guidelines
Wholesalers who wish to market their properties with us must:
1. Sign a non-exclusive joint venture or option agreement.
2. Provide a copy of the original purchase and sale agreement.
3. Disclose all known terms, conditions, and property information.
Investor Guidelines
Investors purchasing properties must:
1. Complete due diligence before signing an assignment contract.
2. Deposit a 3% non-refundable Earnest Money Deposit (EMD) into escrow by 12 PM the next business day upon executing an assignment contract with IronGate Construction.
3. Close by the specified close-of-escrow date.
4. Investors purchasing sight unseen must deposit the EMD prior to any property access or final walkthrough, which will not serve as an inspection.
5. When committing to purchase a property and take an assignment contract, Investors have two hours to sign the assignment agreement or the deal may go to a backup buyer.
EMD Refund Policy
If the seller breaches or fails to deliver clear title, the investor will receive a refund of the EMD. If the investor breaches the contract, they forfeit the EMD without needing to sign its release.
Non-Circumvent
Investors: You are prohibited from contacting the original property sellers directly. You must adhere to this non-circumvent policy.
Wholesalers: You are prohibited from contacting the investor who purchases the property. All communications must be facilitated through IronGate Construction.
Dispute Resolution
By entering into an agreement with IronGate Construction, you waive all claims against IronGate Construction, its employees, and representatives arising from property purchases. You agree to indemnify and hold harmless IronGate Construction and its representatives from any liability arising from your transactions.
Governing Law
These Terms are governed by the laws of the State of California. Any disputes will be resolved in the courts of California.
